Newegg Subscription Program Terms & Conditions

The Newegg Subscription Program (“Subscription Program”) was designed to take the hassle out of buying those products you use most often. With our Subscription Program, you can order just once and forget about it – products are always there when you need them. We’ll automatically ship those products to you – free and fast – on a schedule that you choose and at discounts below our standard prices. You’ll also enjoy attractive discounts on subscriptions to digital products you may order – we’ll automatically bill you and you’ll always have access to your favorite products.

By registering for the Subscription Program, you will be subject to the following terms and conditions (“Terms”). These Terms are between you and Newegg Canada Inc., including its subsidiaries, affiliates and related entities (“Newegg”), and govern our respective rights and obligations with respect to the Subscription Program. By registering for the Subscription Program and using its associated benefits, you also agree to be bound by Newegg’s Policy & AgreementPrivacy Policy and other policies, conditions, limitations and disclaimers appearing on the Newegg.ca website which are incorporated into these Terms.

Registration

  • To register for the Subscription Program, you must have a registered account with Newegg.ca with a current credit card linked to your account. If you do not already have a Newegg.ca account, you can register for an account and provide your credit card information here.
  • The credit card that you provide at the time of registration will be automatically charged for any recurring subscription payments. You may change the credit card linked to your subscriptions at any time by visiting the Newegg Subscriptionssection of the My Account page on Newegg.ca.
  • After you have successfully completed the registration process, ordered a qualifying product and payment for your purchase is confirmed, your subscription will begin.
  • The Subscription Program is free. There are no extra fees – you only pay for the qualifying products that you purchase and we ship to you.
  • Subscriptions are associated with individual qualifying products. You may only maintain one subscription per qualifying product, but you may maintain multiple subscriptions as long as each subscription is associated with different qualifying products.
  • When you register for the Subscription Program, you will have the choice of three (3) different plan options, depending on the qualifying product you wish to purchase:
    • Regular Subscription
      This subscription is intended for purchases of qualifying “physical” products ordered from Newegg.ca and the Newegg.ca Marketplace and which will be shipped to you, and subscriptions to “digital” products (such as pre-paid wireless phone cards) ordered from Newegg.ca.
    • Month-to-Month Subscription
      This subscription is intended for purchases of digital products only (such as software and warranty service) ordered from Newegg.ca.
    • Commitment Subscription
      This subscription is intended for purchases of digital products only (such as software and warranty service) ordered from Newegg.ca.
  • You may not share any subscription with other people, and by registering for a subscription, you agree that all Subscription Program benefits will only be used by you, as the individual in whose name the linked Newegg.ca account is held.
  • The Subscription Program is intended for use by Newegg.ca customers (end-users) purchasing products for personal use.
  • We may refuse to register you for the Subscription Program if required by law, or if you are in breach of these Terms.

Payment and Recurring Orders

Each Subscription Program option offers different payment and order features:

  • Regular Subscription
    • With a Regular Subscription, the sales price of qualifying products in your recurring subscription orders is not locked, and is subject to change (upwards and/or downwards) over time.
    • With a Regular Subscription, we may offer a Subscription Program discount (which is subject to change upwards and/or downwards over time) on qualifying products from time to time, and discount the sales price of qualifying products (on the day of your order) in your subscription order.
    • When you place your first Regular Subscription order of a qualifying product, we will charge your credit card in an amount equal to the sales price of the qualifying product (on the day of your order), less the Subscription Program discount, if any (on the day of your order), plus applicable tax.
    • Thereafter, your order will recur at the quantity and frequency you specify, and on the delivery dates you specify. For each order shipped, we will automatically charge your credit card in an amount equal to the sales price of the qualifying product (on the day of your order), less the Subscription Program discount, if any (on the day of your order), plus applicable tax, unless you tell us you wish to cancel. A Regular Subscription requires a minimum of two (2) orders – your initial order and one (1) recurring order – before you may cancel (see Cancellation & Termination below).
  • Month-to-Month Subscription
    • With a Month-to-Month Subscription, the sales price of qualifying products in your recurring subscription orders is locked. As long as you maintain an active Month-to-Month Subscription order recurring on a monthly basis, we will always charge your credit card the same amount as your first Month-to-Month Subscription order of that qualifying product.
    • When you place your first Month-to-Month Subscription order of a qualifying product, we will charge your credit card in an amount equal to the sales price of the qualifying product (on the day of your order), plus applicable tax.
    • Thereafter, your order will recur on a monthly basis. For each order shipped, we will automatically charge your credit card in an amount equal to the sales price of the qualifying product in your first Month-to-Month Subscription order, plus applicable tax, unless you tell us you wish to cancel (see Cancellation & Termination below).
  • Commitment Subscription
    • At this time, you may choose 12 month or 24-month Commitment Subscriptions: orders will recur on a monthly basis (for 12 or 24 months, as applicable) and will be automatically charged to your credit card.
    • With a Commitment Subscription, the sales price of qualifying products in your recurring subscription orders is locked. As long as you maintain an active Commitment Subscription order recurring on a monthly basis, we will always charge your credit card the same amount as your first Commitment Subscription order of that qualifying product.
    • When you place your first Commitment Subscription order of a qualifying product, we will charge your credit card in an amount equal to the sales price of the qualifying product (on the day of your order), plus applicable tax.
    • Thereafter, your Commitment Subscription order will recur on a monthly basis. For each order shipped, we will automatically charge your credit card in an amount equal to the sales price of the qualifying product in your first Commitment Subscription order, plus applicable tax, unless you tell us you wish to cancel (see Cancellation & Termination below).
  • YOU UNDERSTAND THAT WITH A REGULAR SUBSCRIPTION, MONTH-TO-MONTH SUBSCRIPTION OR A COMMITMENT SUBSCRIPTION, WE WILL AUTOMATICALLY CHARGE YOUR CREDIT CARD ACCOUNT ON A RECURRING BASIS (EVERY MONTH OR AT A FREQUENCY SET BY YOU, DEPENDING ON YOUR SUBSCRIPTION) FOR THE AMOUNT OF YOUR SUBSCRIPTION, AND FOR THE TERM OF YOUR COMMITMENT (IF APPLICABLE). YOU SPECIFICALLY AUTHORIZE NEWEGG TO CHARGE YOUR CREDIT CARD ACCOUNT FOR THE TOTAL AMOUNT OF YOUR RECURRING SUBSCRIPTION, UNLESS YOU NOTIFY US PRIOR TO THE CHARGE TO YOUR CREDIT CARD THAT YOU WISH TO CANCEL YOUR SUBSCRIPTION.
  • When you register for a subscription and order products, your purchases and recurring subscriptions will be charged to the credit card linked to your Newegg.ca account that you have authorized Newegg to charge for purchases.
  • Subscription Program purchases must be charged to a credit card. We cannot accept payment via debit cards (cards issued by your bank and connected directly to your bank account), PayPal or via any other payment method.
  • If a charge to your credit card account fails at the time of an automatic charge for a subscription purchase, we allow up to five (5) days for you to correct the credit card information on file in your Newegg.ca account before we will terminate your subscription(s) and apply penalties, if applicable (see Cancellation & Termination below).

Cancellation & Termination

  • You may cancel your subscription(s), subject to applicable penalties, if any, by visiting the Newegg Subscriptions section of the My Account page on Newegg.ca, and choose “Cancel.”
    • Regular Subscription Cancellation– A Regular Subscription requires a minimum of two (2) orders – your initial order and one (1) recurring order – before you may cancel your subscription. If you cancel a Regular Subscription for a qualifying product, you may later “re-activate” the subscription at any time by visiting the Newegg Subscriptions section of the My Account page on Newegg.ca, and choose the subscription for the applicable qualifying product and re-activate.
    • Month-to-Month Subscription Cancellation– After you place your first order of a Month-to-Month subscription and we charge your credit card, there is no further commitment and you may cancel your Month-to-Month Subscription at any time thereafter without penalty. If you cancel a Month-to-Month Subscription for a qualifying product, but later wish to “re-activate” the subscription, you must re-register for the subscription in the same manner you registered for the original subscription. However, Newegg reserves the right to refuse to permit you to re-activate previously-canceled subscriptions.
    • Commitment Subscription Cancellation (12 months & 24 Months)– After you place your first order of a subscription and we charge your credit card, you may cancel at any time during the specified free trial period (if any) without penalty (see Free Trials below). If you decide to cancel after the free trial period (if any), or at any time during the term of the Commitment Subscription, an early cancellation fee will be charged to your credit card. The early cancellation fee is fifty percent (50%) of the total commitment amount of your subscription, less the total of monthly commitment amounts already charged to your credit card for the subscription. If you cancel a Commitment Subscription for a qualifying product, but later wish to “re-activate” the subscription, you must re-register for the subscription in the same manner you registered for the original subscription. However, Newegg reserves the right to refuse to permit you to re-activate previously-canceled subscriptions.
  • These Terms are effective until terminated by Newegg, and Newegg may terminate the Subscription Program in its entirety, or these Terms and your subscriptions at any time and without notice.
  • If Newegg, in its sole discretion, determines that you have misused the Subscription Program, engaged in wrongdoing or fraud, misrepresented your eligibility for a subscription, or are otherwise in breach of these Terms, Newegg may terminate your subscription immediately, subject to applicable penalties, if any.
  • In the event of termination, all restrictions imposed on you by these Terms and/or disclaimers and limitations of liability set out in these Terms will survive.

Free Trials

  • Some Month-to-Month and Commitment Subscriptions may be eligible for free trials of varying lengths which will be clearly indicated on the product pages of qualifying products. Free trials allow you to place one or more paid subscription orders during the trial period, and cancel your subscriptions(s) at any time before the expiration of the free trial without further obligation. If you do not cancel before your free trial expires, we will automatically start your recurring subscription and charge your credit card accordingly upon expiration of your free trial.

Qualifying Products

  • Subscription Program benefits apply only to orders of qualifying products, which are clearly designated by the Subscription Program icon visible on the product pages of qualifying products.
  • Subscription Program benefits only apply to orders of qualifying products offered on Newegg.ca, including the Newegg.ca Marketplace section of Newegg.ca. Products offered for sale on other Newegg sites are not eligible for Subscription Program benefits.
  • If your shopping cart at checkout includes qualifying and non-qualifying products, the qualifying and non-qualifying products will be split into separate order numbers. Subscription Program benefits apply to the qualifying products only. Non-qualifying products are subject to Newegg’s standard ordering, pricing and shipping policies.

Order Changes (Regular Subscriptions only)

  • You can change the order quantity and frequency, delivery address and delivery dates of your recurring orders by visiting the Newegg Subscriptions section of the My Account page on Newegg.ca, and choose the subscription for the applicable qualifying product and make the desired changes to the subscription.

Shipping (Regular Subscriptions only)

  • Regular Subscriptions get free expedited ground shipping on qualifying products ordered from Newegg.ca. Qualifying products ordered from the Newegg Marketplace are subject to our standard shipping policies.
  • Delivery time is measured in business days, and all orders are subject to a 1 business day processing time prior to shipping.
  • We do not process or deliver orders on weekends or holidays.
  • Newegg selects the most effective carrier for the shipment and delivery of your order such as Purolator, UPS, and Canada Post.
  • Subscription Program shipping benefits apply to orders shipping to residential addresses within the 10 provinces only. Orders for YT, NT, NU, P.O. Boxes, or international addresses are not eligible for the Subscription Program.
  • The speed of your delivery is dependent on many factors including the location of the delivery, the size or special features of the product being shipped, and carrier issues beyond our control.
  • Newegg does not guarantee that your order will be shipped on time, or that it will be delivered by the estimated delivery date.

  • Certain products because of their size, weight or other special characteristics do not qualify for Subscription Program benefits, and are subject to Newegg’s standard shipping and return rates and policies.

Returns

  • All Subscription Program orders of qualifying products are subject to Newegg’s standard returns policies and restrictions. You can review complete information about Newegg’s standard returns policies and restrictions here.

Other Limitations and Conditions

  • We may update, vary, amend or cancel some or all of these Terms at any time, and each time you visit our website you will be legally bound by our updated or amended Terms.
  • You may not use your subscriptions in any manner, or for any purpose which is unlawful, or in any manner which violates any right of Newegg, or which is prohibited by these Terms.
  • You may not transfer or assign your subscriptions to any other person or entity, and any such assignment will be null and void, and will terminate these Terms and your subscription(s).
  • We may contact you regarding your subscriptions, including issues relating to orders placed by you, charges to your credit card account, and termination and/or re-activation of subscriptions. As a condition of your use of the Subscription Program, you are required to keep the email address on file in your account current so that we may contact you as needed. You may update your email address, other personal details and your credit card account information at any time by visiting the My Account page on Newegg.ca.
  • Newegg is not responsible for the lapse and termination of your subscriptions and associated Subscription Program benefits due to your failure to keep your email address, other personal details and your credit card account information current.
  • The laws and regulations of the state and/or municipality in which you reside may confer you with rights relating to your subscriptions and the Subscription Program which cannot be excluded, restricted or modified by these Terms (“Statutory Rights”). If these Statutory Rights apply to you, some of these Terms may be excluded.
  • If any provision contained in these Terms is or becomes invalid, illegal, or unenforceable in whole or in part, such invalidity, illegality, or unenforceability shall not affect the remaining provisions and portions in these Terms, and the invalid, illegal, or unenforceable provision shall be deemed modified so as to have the most similar result that is valid and enforceable.
  • Our failure to enforce your compliance with any provision of these Terms shall not affect in any way our right to require such compliance at any time thereafter. Any waiver by Newegg of your breach of any provision in these Terms shall not be taken or held to be a continuing waiver of that provision unless such waiver is made in writing.

Limitation of Liability

CONSUMER PROTECTION LAWS IN QUEBEC PROHIBIT ANY STIPULATION THAT WOULD RELIEVE A MERCHANT FROM THE CONSEQUENCES OF HIS OR HER OWN ACTION. IF YOU ARE A QUEBEC CONSUMER, TO THE EXTENT PROHIBITED UNDER QUEBEC LAW, THIS SECTION DOES NOT APPLY TO YOU TO THE EXTENT THAT IT WOULD RELIEVE THE COMPANY OR ITS REPRESENTATIVE(S) OF LIABILITY FOR ANY ACTION OF THE COMPANY.

IN NO EVENT SHALL NEWEGG BE LIABLE TO YOU OR TO ANY THIRD-PARTY CLAIMING THROUGH OR UNDER YOU, FOR ANY INDIRECT, SPECIAL, CONSEQUENTIAL OR INCIDENTAL DAMAGES, INCLUDING ANY LOST PROFITS ARISING FROM OR RELATING TO THE SUBSCRIPTION PROGRAM AND THESE TERMS. IN ALL CIRCUMSTANCES, NEWEGG’S MAXIMUM LIABILITY SHALL NOT EXCEED THE TOTAL AMOUNT YOU HAVE PAID FOR THE PURCHASE OF A PRODUCT VIA THE SUBSCRIPTION PROGRAM. NEWEGG SHALL NOT, UNDER ANY CIRCUMSTANCES, BE LIABLE UPON A CLAIM OR ACTION IN CONTRACT, TORT, INDEMNITY OR CONTRIBUTION, OR OTHER CLAIMS RELATING TO THE SUBSCRIPTION PROGRAM WHICH EXCEEDS THIS LIABILITY LIMIT. NEWEGG SHALL NOT BE LIABLE FOR THIRD-PARTY CLAIMS FOR DAMAGES FOR DELAYS, INTERRUPTION OF SERVICE, LOSS OF BUSINESS, OR EXEMPLARY DAMAGES, WHETHER OR NOT NEWEGG HAS BEEN MADE AWARE OF THE POSSIBILITY OF SUCH CLAIMS OR DAMAGES.
